Johnson College and CAN DO Host Ribbon Cutting Ceremony to Celebrate Grand Opening

In a joint celebration held today, September 27, CAN DO and Johnson College held a ribbon-cutting ceremony for the ‘Johnson College at the CAN DO Training Center’. This celebration comes after the two institutions announced their partnership to bring a technical school to the Greater Hazleton Area earlier this year.

The ‘Johnson College at the CAN DO Training Center’ ribbon cutting event showcased the expansive 20,000 sq. ft. facility – which was once home to the former McCann School of Business and Technology. Guests were invited to tour the new school, including classrooms, lab spaces, and the campus resource center that is open to all students. Capriotti’s Catering and Little Treats and Cakes by Janna catered the event with light lunch fare and desserts.

Dr. Katie Leonard, President and CEO of Johnson College, and Joseph Lettiere, President and CEO of CAN DO, were both present and spoke about how this partnership is a monumental achievement for the Greater Hazleton Area, its residences, and its businesses.

Dr. Katie Leonard spoke of the importance of the College’s industry partners throughout her remarks. “I like to say that we are founded and grounded in industry”, she mentioned. “The industry partnerships we’ve fostered here in the Greater Hazleton region helped us identify the need for skilled technicians and technologists in the area and the need for us to create unique, hands-on, industry-driven experiences for students who want to work within those industries.”

During his remarks, CAN DO President and CEO, Joseph Lettiere, stated, “CAN DO’s partnership with Johnson College is monumental for the Greater Hazleton Area and its residents as a whole. Through the various programs available on this campus, our community will have direct access to the necessary training and education our industries are in need of…these programs truly move the needle for members of our community by providing industrial education that will ultimately lead to family- and life-sustaining careers.”

With its strategic positioning inside of the Humboldt Industrial Park, Johnson College’s Hazleton campus will provide students with advantageous proximity to nearly 70 industries currently employing more than 11,000 individuals. The campus is also now a central education hub for communities within lower Luzerne and surrounding counties.

While classes officially began on August 28, the new school offers a robust curriculum aimed to cater to the diverse academic and industry needs of the Greater Hazleton Area community. Notable program offerings include a 2-Year Associate Degree in Applied Science for Electrical Construction Technology and 1-Year Academic Certificate programs in Welding Technology, Industrial Technology, and Building and Property Maintenance. Additionally, the school offers continuing education certificate courses in Medical Assistant, Computer Support, and Security Specialist, as well as Class A CDL Driver Training.

Peoples Financial Services Corp. and FNCB Bancorp, Inc. Announces Merger

Peoples Financial Services Corp. (“Peoples”) (Nasdaq: PFIS) and FNCB Bancorp, Inc. (“FNCB”) (Nasdaq: FNCB) today announced they have entered into a definitive agreement under which Peoples and FNCB will combine in an all-stock strategic merger valued at approximately $129.0 million based on a 20-day volume weighted average stock price for Peoples’ common stock of $44.13 as of September 26, 2023, resulting in an implied price per share to holders of FNCB Common Stock of approximately $6.44 per share. Under the terms of the definitive agreement, which was unanimously approved by the boards of directors of both companies, upon the completion of the merger, the FNCB shareholders would receive 0.1460 shares of Peoples common stock for each share of FNCB common stock they own.  The pro forma post-merger shareholder ownership split would be approximately 71% for Peoples and 29% for FNCB.

Highlights of the Transaction:

  • Strategic merger that creates a bank holding company with nearly $5.5 billion in assets and a combined market capitalization of approximately $444 million;
  • #2 ranked deposit market share in the Scranton-Wilkes Barre metro statistical area and #5 ranked Pennsylvania-headquartered community bank under $20 billion in total assets;
  • The headquarters of the combined holding company will be located in Scranton, Pennsylvania and the combined bank headquarters will be based in Dunmore, Pennsylvania;
  • The combined bank holding company will operate under the name “Peoples Financial Services Corp.” and will trade under the Peoples ticker symbol “PFIS” on the Nasdaq Stock Market. The combined bank will operate under the “Peoples Security Bank and Trust Company” brand; and
  • Both companies have closely aligned leadership cultures dedicated to the success of our customers, communities, employees and shareholders.

Financial Benefits of the Merger:

The transaction is projected to deliver 59% EPS accretion to Peoples 2025 estimated EPS and inclusive of all merger synergies, with a tangible book value earn-back period of 2.4 years.

The transaction is projected to be 40+ accretive to FNCB’s EPS. In addition, post-closing, Peoples plans to raise its quarterly dividend to $0.6175 per share, or to $2.47 per share on an annual basis, which will create no dilution for FNCB shareholders. Peoples’ post-closing annual cash dividend is projected to be 51%+ higher than current levels.

On a pro forma basis for the year 2025, the combined business is expected to deliver top-tier operating and return metrics upon fully phased-in integration plans, including:

  • Annual Net Income of $63.6 million;
  • Annual Earnings per Share of $6.29;
  • Annual cash dividends per share $2.47 with a dividend payout ratio of 39%;
  • Return on Average Assets of 1.11%; and
  • Return on Average Tangible Common Equity of 15.8%.

The pro forma combined company financial metrics are based on estimated combined company cost synergies, anticipated purchase accounting adjustments, and the expected merger closing time-frame.

Governance and Leadership:

The combined bank holding company’s board of directors will have 16 directors, consisting of eight directors from Peoples and eight directors from FNCB with Peoples’ current Chair William E. Aubrey, II serving as Chair of the combined board of directors and FNCB’s current Chair, Louis DeNaples, Sr., will serve as Vice Chair of the combined board of directors.

The combined company will be led by a highly-regarded management team with significant financial services experience.

  • Craig Best, Peoples’ current Chief Executive Officer, will continue to serve in that role for the combined bank holding company and the combined bank.
  • Gerard Champi, FNCB’s current President and Chief Executive Officer, will serve as President of the combined bank holding company and the combined bank.
  • John Anderson, Peoples’ current Chief Financial Officer, will continue to serve in that role for the combined bank holding company and the combined bank.
  • Thomas Tulaney, Peoples’ current Chief Operating Officer, will continue to serve in that role for the combined bank holding company and the combined bank.
  • James Bone Jr., CPA, FNCB’s current Chief Financial Officer, will serve as Chief Operations Officer of the combined bank holding company and combined bank.
  • The remainder of the executive team will be drawn from both Peoples and FNCB.

It is expected that at the one-year anniversary of the merger closing, Craig Best will retire as Chief Executive Officer, Gerard Champi will be appointed to the position of Chief Executive Officer of the combined bank holding company and the combined bank and Thomas Tulaney will be appointed to the office of President of the combined bank holding company and the combined bank.  Craig Best will continue as a member of the Board of Directors of the combined holding company and the combined bank after the one-year anniversary of the merger.

PennDOT Honors Star of Excellence Recipients   

At a ceremony in Harrisburg today, Pennsylvania Department of Transportation (PennDOT) Secretary Mike Carroll recognized 31 PennDOT employees for their outstanding performance with the Star of Excellence Award, PennDOT’s highest recognition. Ralph Del Rosso and Jeremiah Gonzalofrom PennDOT’s Engineering District 4 which represents Lackawanna, Luzerne, Pike, Susquehanna, Wayne, and Wyomingcountieswere among the honorees. 

“I’m continually impressed by the hard work and dedication of the PennDOT team,” Secretary Carroll said. “These folks work tirelessly each day to provide safe and efficient transportation for Pennsylvania’s residents.”  

Carroll and other department executives honored Ralph Del Rosso and Jeremiah Gonzalo during an event held at the State Museum of Pennsylvania.  

“Both Ralph and Jeremiah have truly excelled in their service to the traveling public in northeast Pennsylvania,” said Richard N. Roman, P.E., District Executive for PennDOT Engineering District 4, based in Dunmore. “They are both stars within our organization and have developed meaningful relationships with property owners doing business with PennDOT.” 

Ralph Del Rosso 

 Ralph Del Rosso has been employed by PennDOT Engineering District 4 for over 30 years and has been the Right of Way Administrator for over 20 Years.  Ralph’s knowledge of the Department’s policies and procedures stems from years of experience on a multitude of transportation projects. He has a keen eye for detail which has helped him be a successful team leader and manage nearly 100 active jobs.  He has converted all related files digitally allowing his team to easily access documents for projects increasing accessibility and productivity for the Department. Ralph attends public meetings and speaks with legislative contacts to discuss sensitive issues and consistently manages to explain complicated policies and procedures in a clear and concise manner. As Ralph is nearing retirement, he continues to teach his method of plan reviews and to pass on the skills he has utilized over the past 20 years to his successors. 

  

Jeremiah Gonzalo 

Jeremiah Gonzalo’s daily accomplishments continue to highlight the strategic themes of the Department.  As District Permits Manager, Jeremiah is responsible for reviewing and approving all Highway Occupancy Permits for developments occurring in PennDOT Engineering District 4. His quality customer service has developed strong relationships prompted innovative ideas and promoted safety within the District. His promptness in service has ensured that progress is made towards Traffic Information Services and Highway Occupancy Permit approval without delays for submissions on eight major developments proposed in the Hazleton area. These developments are impacting the Route 424 corridor totaling upwards of 28 million square feet of warehouse space and require significant coordination with the District permits units and all the consultants and developers during the process. Jeremiah’s efforts have been recognized by developers who have continuously informed the District of their appreciation, in particular, the assistance provided by Jeremiah in moving the process along. 

The Star of Excellence Awards are presented annually to employees who represent the department’s values of service, performance, and integrity. The recipients represent a variety of organizational positions, spanning from highway maintenance and driver and vehicle services workers, to traffic control specialists, communications staff, and design and engineering specialists.

Johnson College to Host Regional College Fair

Johnson College is hosting the Scranton/Wilkes-Barre College Fair on Wednesday, October 4, from 5:30 to 7:30 p.m. in the Moffat Student Center Gym on the College’s Scranton campus.

This public event will give attendees the chance to learn more about local colleges and universities, connect with admission representatives from across the region, and have questions about everything from academics to campus life answered.

USS Scranton Commanding Officer and Crew to Visit the City of Scranton

In conjunction with the USS Scranton Commanders’ Commemoration Committee, the City of Scranton will be welcoming Commanding Officer Jeffrey Ransom and five of his officers to the City. The crew will tour City Hall, the Gino J. Merli Veterans’ Center, local universities, and other attractions.

Hospice of the Sacred Heart Resumes Remembrance Walk

Hundreds of walkers are expected to pause and remember their loved ones in a unique and special way at the Hospice of the Sacred Heart Remembrance Walk. The walk will take place on Saturday, October 7th at McDade Park in Scranton for the first time since 2019. The event did not take place in 2020, 2021, and 2022 due to the COVID-19 pandemic. Registration begins at 8:30 am and the walk will kick off at 10 am. The Wright Center is the presenting sponsor.

The one-mile walk around scenic McDade Park is wheelchair accessible and pet-friendly. The $25 registration fee ($30 after September 20th) includes lunch and a long-sleeve t-shirt with a customizable pin-on bib, so participants can walk in memory of a loved one. Teams of five or more are $20 each and children 12 and under are free. There will be a DJ, basket raffle, children’s activities, a ceremonial bell ringing and ice cream. Proceeds from the walk will help support Hospice of the Sacred Heart programs and services.

The event will begin with an opening prayer by Msgr. Thomas M. Muldowney, Pastor, Saint Catherine of Siena Parish in Moscow and WNEP-TV anchor and reporter, Stacy Lange, will start the walk. Diane Baldi, Hospice of the Sacred Heart CEO, will be available for interviews.

Marywood University Offers Depression and Mood Disorder Screening Program

According to the National Institute of Mental Health (2014), depression is the most common mental health issue among adults. The World Health Organization (2016) estimates that 350 million people of all ages suffer from depression worldwide. Screening for depression and other mood disorders provides individuals and families with the opportunity to identify warning signs early and to connect with appropriate treatment. It is important to note that symptoms can look different across and within cultures. 

Marywood’s Psychological Services Center Depression Screening Day, set for October 5, 2023, serves as a supportive community initiative to connect the public with mental health resources. Through this program, free depression screenings are offered at Marywood’s Psychological Services Center, located in the McGowan Center on the university’s campus.

The screenings will be held on Thursday, October 5, 2023, from 9 a.m. to 7 p.m. Each screening lasts for approximately 15 minutes. Early recognition and treatment of depression provide the best opportunity for recovery. The screenings offered at Marywood University’s Psychological Services Center are free, confidential, brief, and require no appointment or commitment.

Although the screenings are not diagnostic, they do provide valuable insight. Additionally, screenings can help to identify symptoms associated with depression or other mood disorders and clarify if help may be needed.
